Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and SessionTrack, LLC ("SessionTrack," "we," "us," or "our") governing your use of the website at sessiontrack.app and the SessionTrack mobile application (together, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

SessionTrack is a software tool that helps session leaders, musicians, and contractors manage recording sessions and generate the related paperwork, including time cards, contracts, and wage calculations. The Service is currently in active development and may be offered on a beta basis. Features may change, and the Service is provided on an "as available" basis.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide when registering, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized use of your account.

3. Your Content and Data

You retain ownership of the information and content you submit to the Service ("Your Content"), including session details, musician and contractor information, and payroll figures. You grant us a limited license to host, process, and use Your Content solely to operate and provide the Service to you.

You are responsible for the accuracy of Your Content and for ensuring you have the right and any necessary consent to provide it - particularly personal information about other people, such as names and Social Security numbers. You agree not to submit content that is unlawful or that infringes the rights of others.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Access or attempt to access accounts, data, or systems that are not yours;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure;
• Reverse engineer, scrape, or copy the Service except as permitted by law;
• Upload malware or use the Service to transmit harmful or fraudulent material.

5. Paperwork and No Professional Advice

The Service helps you generate documents and calculate amounts based on the information you enter and the rate tables we provide. These outputs are tools to assist you. SessionTrack does not provide legal, tax, accounting, or union-compliance advice, and the Service is not a substitute for professional judgment. You are responsible for reviewing all generated documents and figures for accuracy and for ensuring they meet any applicable requirements before relying on or submitting them.

6. Third-Party Services

The Service relies on third-party providers (such as hosting and email providers) and may let you transmit documents to third parties at your direction. We are not responsible for the acts, omissions, or policies of those third parties.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY GENERATED DOCUMENT OR CALCULATION WILL BE ACCURATE OR COMPLETE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SESSIONTRACK AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify and hold harmless SessionTrack from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or the rights of a third party.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms or to protect the Service or other users. Provisions that by their nature should survive termination will survive.

11. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Missouri.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
